Terms of Use

These Terms of Use govern your use of kodeway.com (the “Site”), operated by Kodeway, Inc. (“Kodeway”, “we”, “us”). By using the Site you agree to these terms. If you do not agree, please do not use the Site.

Our products — BeyondClaim, BeOnField and oMotorcycle — are governed by their own terms of service, which you accept when you sign up for or use those products. These terms cover the Site only.

You may use the Site for lawful purposes only. You agree not to:

• Interfere with the Site’s operation or security, or attempt to gain unauthorised access to any part of it or to the systems behind it.
• Use automated tools to scrape, crawl or copy the Site’s content in bulk, other than search engines indexing publicly available pages.
• Send spam, malware or unlawful, abusive or misleading content through the contact form.
• Misrepresent who you are or your affiliation with any person or organisation.

The Site and its content — including text, design, graphics, logos, the Kodeway name and mark, and the BeyondClaim, BeOnField and oMotorcycle names and marks — are owned by Kodeway or its licensors and protected by copyright, trademark and other laws.

You may view, download and print pages from the Site for your own personal or internal business reference. You may not otherwise reproduce, modify, distribute or create derivative works from the content, or use our names or marks, without our prior written permission.

When you send us a message, proposal, idea or application through the Site, you confirm that you have the right to share it and that it does not infringe anyone else’s rights. You give us permission to use it for the purpose you sent it. We are not obliged to treat unsolicited ideas as confidential, and we may already be working on something similar.

Descriptions of our products, their status (for example “live”, “in beta” or “in development”) and figures shown on the Site are provided for general information, reflect the position at the time of writing, and may change without notice. They are not an offer, a warranty, or a commitment to deliver any feature by any date.

The Site links to sites we do not operate, including our product sites hosted on separate domains and social networks. We are not responsible for their content, availability or practices, and a link does not imply endorsement.

The Site is provided “as is” and “as available”. To the fullest extent permitted by law, Kodeway disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the Site will be uninterrupted, error-free or free of harmful components.

To the fullest extent permitted by law, Kodeway and its officers, directors, employees and contractors will not be liable for any indirect, incidental, special, consequential or punitive damages, or any loss of profits, data or goodwill, arising from your use of or inability to use the Site. Our total liability for any claim relating to the Site will not exceed one hundred US dollars (US$100). Some jurisdictions do not allow these limitations, in which case they apply to the extent permitted.

You agree to indemnify and hold Kodeway harmless from any claims, losses and expenses, including reasonable legal fees, arising from your breach of these terms or your misuse of the Site.

These terms are governed by the laws of the State of Texas, without regard to its conflict-of-law rules. Any dispute relating to the Site or these terms will be brought exclusively in the state or federal courts located in Denton County, Texas, and you consent to their jurisdiction. Before starting formal proceedings, we ask that you contact us so we can try to resolve the matter informally.

We may revise these terms at any time by updating this page. The effective date at the top shows when they were last changed. Your continued use of the Site after a change means you accept the revised terms.

If any part of these terms is found unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver of it. These terms, together with our Privacy Policy, are the entire agreement between you and Kodeway about the Site.
